The Role of the Compliance Officer in the Shaping of Culture and Ethics in a Financial Institution

This webinar has been developed by the ACOI Ethics Committee. Join us on Thursday, 25th November for this webinar where our speakers will examine the challenges to a business in the development of higher cultural and ethical standards in the wake of lessons and responses arising from the financial crisis, data protection developments, Covid-19 and from customer, regulatory and other stakeholder expectations (such as SEAR/Individual Accountability Framework (IAF)).

This Webinar will look at these challenges for the Compliance Function through the perspectives of an INED, a Head of Compliance and Company Secretariat/HR. We are delighted to have Máire McSherry (Arachas) moderate this webinar and to have a panel comprised of Caitriona Somers (INED), Emma Dignam (Aon) and Mark Satterthwaite (CITI).

Key Learning Outcomes:
1. Awareness of the continuing challenges by the regulators in the wake of e.g. Tracker Mortgage and other compliance shortcomings and in anticipation of SEAR/IAF.
2. Building awareness of the multi-dimensional aspects of a business’s culture and cultural change.
3. Understanding the warning signs that all might not be well.
4. Building awareness and understanding of the need for, role of and possible approaches which a Compliance Function should address in order to fully engage in this and meet its responsibilities in this changing environment.

Meet the Speaker:

Máire McSherry, Executive Director, Arachas Corporate Brokers Ltd.
Máire is a Chartered Insurance Risk Manager with the CII, FCII, with a Masters in Ethics and Corporate Responsibility from DCU, in collaboration with the ACOI and has served as a contributory member of the III education panel, authoring several compliance textbooks. In Arachas she held the role of Head of Compliance with responsibility for AML/CFT and then moved to head up its operational digital change management programme in group retail personal lines. In November 2020, Máire moved to work with Ardonagh Europe to support its strategic M&A activity in Europe specifically in its onboarding and capability management programme, from a risk and compliance perspective.

Caitríona Somers, INED
Caitríona, a Chartered Director, holds a number of independent director positions within the financial services sector, where she chairs various Audit Committees and a Remuneration & Nomination committee. Caitríona’s executive career was within the general insurance sector and more specifically in the field of loss adjusting and claims management where she was CEO of Cunningham Lindsay Ireland and a member of their global senior executive management team until 2013.A faculty member with the Corporate Governance Institute Caitríona lectures on Culture as part of the Diploma in Corporate Governance qualification accredited by Glasgow Caledonian University while also contributing to continuing professional development fora, lecturing and writing on risk outsourcing and technology in Insurance.

Emma Dignam, Head of Secretariat – Aon
Emma is Head of Secretariat and Company Secretary at Aon Ireland where she is responsible for providing guidance and advice on all aspects of company law and corporate governance matters to the Aon Ireland Boards and Senior management teams. An experienced company secretary and corporate governance professional in the financial services sector, Emma has extensive experience in supporting Boards in discharging their duties and responsibilities and is highly skilled in the areas of corporate governance, board support, regulatory and statutory compliance and subsidiary management. Prior to joining Aon, Emma was Deputy Company Secretary at Ulster Bank for a number of years.

Mark Satterthwaite, Chief Compliance Officer, Citibank Europe plc
Mark is Chief Compliance Officer of Citibank Europe plc (CEP) & Head of ICRM (Independent Compliance Risk Management) Europe Cluster with responsibility for 23 Europe Countries. Prior to joining CEP, Mark worked for Citi in APAC where he held various roles including being responsible for ICG APAC Compliance and Chief Compliance Officer of Citigroup Japan Holdings Corp. Prior to moving to Citi Mark worked for Deutsche Bank AG in London, where he served most recently as the Head of Asset Wealth Management Compliance. In the course of his 15-year career with Deutsche Bank, Mark also served as Head of Global Markets Compliance and was a Board member of a number of different operating Companies in Europe. In the early part of his career, Mark was employed by the London Stock Exchange as well as by the Securities and Investment Board (SIB) in a number of regulatory related positions.
